SUMMARY NOTICE
UNDER LOCAL
GOVERNMENT UNIT
DEBT ACT
¶ Notice is hereby given that the Board of School Directors of the Butler Area School District will consider, at a meeting to be held on Monday, April 20, 2026, at 7:30 P.M. (or on such other date and time and at such location as the Board may determine, not later than thirty (30) days following the date of publication of this notice), at the Intermediate High School, 551 Fairground Hill Road, Butler, PA 16001, together with such other business as may come before the Board, the adoption of a resolution authorizing nonelectoral debt in the presently estimated not-to-exceed amount of $45,475,000.00, and summarized as follows:
¶ Article 1 defines certain terms, including the Notes and the Project, which consists generally of: (a) the current refunding of all or a portion of the Butler Area School District, General Obligation Bond, Series of 2007; (b) capital projects throughout the School District, including some or all of the following: (i) construction of a new stadium annex building, (ii) roof replacement at Center Township Elementary School, Connoquenessing Elementary School and Northwest Elementary School, (iii) roof replacement, gym bleacher replacement, auditorium lighting improvements, bathroom upgrades and plumbing replacement at the Senior High School, (iv) exterior panel acquisition and installment and auditorium seating improvements at the Intermediate High School, (v) roof and HVAC improvements at Broad Street Elementary School and (vi) various and sundry other capital improvements to School District facilities; and (c) paying the costs and expenses incurred by the School District in connection with the issuance and sale of the Notes.
¶ Articles 2 and 3 authorize the incurrence of nonelectoral debt by the issuance of General Obligation Notes, and establishes a sinking fund.
¶ Article 4 provides the form, maturity amounts, interest rates and the terms and provisions for the payment of the Notes. Articles 5, 6, 7 and 8 address the Sinking Fund Depository, events of default, and amendment and discharge of the security documents.
¶ Article 9 contains federal income tax covenants and certain elections and designations related to the Notes; Article 10, securities law covenants.
¶ Article 11 provides for the sale of the Notes, establishes certain funds and sets forth certain directions for Settlement; in particular, this Article contains a ratification of the termination of an existing Qualified Interest Rate Management Agreement, in order to alter the variable rate nature of certain debt service obligations of the School District, thereby eliminating terms, covenants and restrictions applicable to the same which have been determined to be unduly burdensome and better manage the School District’s future debt service obligations. Article 12 authorizes other related and necessary actions.
¶ The full text of the Resolution may be examined by any citizen between the hours of 8:30 A.M. and 4:00 P.M. on regular school business days at the Administrative Offices of Butler Area School District, 110 Campus Lane, Butler, PA 16001.
